PRODUCTS AND SERVICES – DREAM MAKERS CROWDFUNDING PLATFORM

These Terms of Use (the “Terms of Use”) include legal obligations, and their acceptance constitutes a contract between the User and Dream Makers Crowdfunding Platform. Therefore, please carefully read the Terms of Use before using the website www.makersdereves.com (the “site”), owned by 9227-0917 Québec Inc., operating under the name Dream Makers Crowdfunding Platform, a company duly incorporated in Quebec under the Quebec business number 1166826652 whose address is 2102-3030, boul. Lévesque Ouest, Laval, Quebec, Canada, H7V 0B9 (hereinafter 450-848-4135 – info@makersdereves.com referred to as the “Service Provider”).

Using services offered on the website or outside the website (the “Services”), you agree, without reservation or restriction, to abide by the Terms of Use, including the Privacy Policy, as well as all other rules, terms, conditions, and policies posted on the site. If you do not agree to the Terms of Service, please stop using the Services immediately.

Please note that the Dream Makers Crowdfunding Platform reserves the right to modify the Terms of Use at its sole discretion. Following these changes, if you continue to use the Services, you agree, without qualification or restriction, to abide by the Terms of Use.

Whereas the service provider specializes in the following field: Project hosting, support for projects on the Dream Makers Crowdfunding Platform;

Whereas the Client wishes to obtain the services of the service provider;

Whereas the Client considers that the Service Provider has the necessary skills, qualifications, and experience to provide the Services to the User;

Whereas the service provider agrees to provide such services to the User according to the terms and conditions set out below;

CONSEQUENTLY OF THE ABOVE, THE PARTIES AGREE AS ​​FOLLOWS:

1. PREAMBLE TO THE AGREEMENT

The preamble is an integral part of this agreement.

The services allow users to be trained and guided to prepare a crowdfunding campaign and be supported during their campaign with the assistance of the Dream Makers Crowdfunding Platform. 

The services are aimed at business start-ups and growth and in the following business sectors: Innovation/technology – Agri-food – Tourism – Sustainable development – ​​Import/Export. However, if your sector of activity is not on the list, contact us to see if we would accept your project. 

The services are used online for the cohort, personalized coaching, and the Dream Makers Crowdfunding Platform.

2. REGISTRATION, ACCOUNTS, AND PASSWORDS

Registration is required to use the Services as a user. When you open an account as a user, you agree to provide accurate and complete information about yourself as required by the registration process and make the necessary updates so that it is correct. You also agree to (i) maintain the confidentiality of any passwords or other account identifiers chosen by you or assigned to you when you register for the Services and (ii) assume responsibility for any activities related to using these passwords or your account. In addition, you agree to notify the Dream Makers Crowdfunding Platform of any unauthorized use of your password or account. Finally, can the Dream Makers Crowdfunding Platform be held liable, directly or indirectly, for any loss or damage of any kind resulting from your failure to comply with this provision or related to such a failure?

Please note that the Dream Makers Crowdfunding Platform reserves the right to refuse or cancel a registration if the Terms of Use are not respected at its sole discretion.

3. RULES OF CONDUCT

When using the Services, you agree to abide by all applicable laws and the Terms of Service. You acknowledge that the Dream Makers Crowdfunding Platform may investigate any violations of law and cooperate with law enforcement authorities to prosecute any user. 

Further, you agree not to (i) post, transmit, or otherwise distribute any material, information, or content, or link to any material, information, or content that targets, advocates, or encourages conduct that could constitute a criminal offence or give rise to civil liability, or otherwise use the site unlawfully; (ii) defame, abuse, stalk, harass, threaten or otherwise violate the legal rights of others, including without limitation privacy and publicity rights; (iii) post, transmit or otherwise distribute any material or information that is inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful, or link to such information; or (iv) post, transmit or otherwise distribute any information, material or content (including, for greater certainty, software) that contains a virus, cancelbot, Trojan horse, worm or other harmful or disruptive elements, or link to such information, material or content.

Please note that the Dream Makers Crowdfunding Platform reserves the right, at any time and at its sole discretion, to remove any content on its site without notice.

4. USER OBLIGATIONS

The Client undertakes to provide the service provider with relevant and available information or data necessary for the performance of the mandate and the services.

The Client requires receiving work to perform services throughout the term of the agreement, provided that they perform following the description of the services above.

5. OBLIGATIONS OF THE MAKERS DE RÊVES CROWDFUNDING PLATFORM

The service provider is fully responsible for carrying out the services to fulfill its mandate under this agreement. Accordingly, it undertakes to act in the User’s best interest, with prudence and diligence, in the performance of the services.

He also undertakes to carry out everything following the use and rules of the art applicable in his field.

The service provider assumes sole control and direction of the performance of the services provided herein. He determines and thinks about the choice of the methods used and all the operations, acts, and gestures carried out or omitted in the performance of his obligations.

Insofar as the circumstances permit, the service provider undertakes to provide all the working tools necessary to execute and complete the services.

Insofar as the circumstances permit, the service provider undertakes to provide the User with any helpful information relating to the nature of the task he undertakes to perform and the goods and time required.

The service provider undertakes to obtain and keep valid for the duration hereof all permits, licenses, and other authorizations required in connection with the performance of the work.

6. CONTENT, LICENSE, AND INTELLECTUAL PROPERTY

As part of the preparation of a crowdfunding campaign, Project Holders (the “Users”) are called upon to submit, download, and distribute content to the Makers de Rêves crowdfunding platform under different forms, including but not limited to text, illustrations, images, photographs, information, audio clips, video clips and software (collectively, the “Content”).

The content submitted, downloaded, and disseminated on the site by the Users is the property of the Dream Makers Crowdfunding Platform. When a User offers, uploads, or distributes content on the site, he agrees to be the holder of the rights in said content or to hold the necessary authorizations from the actual content owners to grant the licenses provided for below.

During the campaign, the Dream Makers Crowdfunding Platform promotes the User to make the crowdfunding campaign more effective when a User submits, uploads, and distributes content on the site or directly through the email from the Dream Makers Crowdfunding Platform to info@makersdereves.com.

User agrees to grant Dream Makers Academy a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, assignable license to its affiliates and their directors, employees, or agents to use, edit, modify, produce derivative works from, reproduce, display, broadcast, market, sell, distribute, fully exploit and sublicense such content, but only in as part of the performance of the activities of the promotion of the project or its services, as well as in any advertising or press coverage related to the Dream Makers Crowdfunding Platform and the Services. 

Always when submitting, downloading, and distributing content on the website or by email, the User agrees to grant to the other service providers a worldwide, non-exclusive, perpetual, irrevocable, royalty-free license allowing Users to use, listen to, view, reproduce, broadcast and transmit the content for personal and non-commercial purposes. 

In addition, by submitting, downloading, or distributing content on the site or by email, the User irrevocably waives all moral rights that he holds or could hold in the range. At no time may grant a license to the Dream Makers Crowdfunding Platform, which other service providers interpret as granting more rights than those previously provided. The User retains full ownership of the rights relating to the content he submits, uploads, and distributes on the website or by email.

At no time can the Dream Makers Crowdfunding Platform be responsible for the content submitted, downloaded, or distributed on the website or by email, particularly without limiting its scope as to its accuracy.

Please note that the Dream Makers Crowdfunding Platform reserves the right, at any time and at its sole discretion, to withdraw or modify without notice the content submitted, uploaded, or distributed on the site by a User.

7. CONTENT OF EXTERNAL SITES

The Makers de Rêves crowdfunding platform site contains hyperlinks to external sites (the “External Sites”) that cause you to leave the site. The Makers de Rêves crowdfunding platform provides Users with these hyperlinks as a convenience. However, as the External Sites are not under the control of the Makers de Rêves crowdfunding platform, the hyperlinks cannot be interpreted as an approval or endorsement of their content by the Makers de Rêves crowdfunding platform.

At no time can the Dream Makers Crowdfunding Platform be held responsible for the content of External Sites, the links they contain, or any changes or updates made to them, and the Makers de Rêves crowdfunding platform offers no warranty on them.

8. OPERATION OF THE SITE THE PLATFORM

To submit a project on the Makers de Rêves crowdfunding platform, a user must complete a form available on the website in the “Submit a project” section and send their Canva plan and business plan (the “Form”).

Once you submit the form, the Dream Makers Crowdfunding Platform evaluates the project. It determines whether the project is eligible to be analyzed by the committee at its sole discretion and within a reasonable time. Following approval, the User will receive an email stating that the selection committee will examine his project. If the project is approved, the User will receive an email stating that he is accepted and will receive an appointment date to pitch his assignment to the committee. Subsequently, he will receive an email with a registration link for submitting the project. He will open an account as a user by following the registration process and complying with the terms and conditions—effect in the adhesion contract. If the Dream Makers Crowdfunding Platform refuses the project, he will receive an email stating why the Dream Makers Crowdfunding Platform refuses it.

Here are some guidelines regarding a Project’s eligibility on the Dream Makers Crowdfunding Platform. But, of course, that is indicative and general:

Do not promote violence;

Not promote animal or human, or plant cruelty;

Not be political, religious, or sexual in nature;

Not be discriminatory;

Have a goal and a realistic deadline for the crowdfunding campaign and the realization of the project;

Have a campaign budget.

The Dream Makers Crowdfunding Platform also offers the following third-party coaching and support services:

Campaign management, structure, and strategy;

Production of the campaign video;

Visual communication;

Web Strategist;

Photography of products and services.

9. TRANSACTION OF THE DREAM MAKERS CROWDFUNDING PLATFORM SITE

Opening an account as a user of the services is free.

The Dream Makers Crowdfunding Platform uses the Stripe payment provider to process transactions from contributors to your project.

10. DREAM MAKERS CROWDFUNDING PLATFORM

Operation of the Dream Makers Crowdfunding Platform. Here are some guidelines regarding a Project’s eligibility on the Dream Makers Crowdfunding Platform. That is indicative and general:

The project leader (the User) fills out a form in the “Submit a project” section. He will register when he receives an email approving his project with a registration link.

The platform is a hybrid model of donations, quid pro quos, and rewards;

The User receives all Contributions;

The User chooses a campaign period of 30-45-60-90 days or unlimited;

The platform is customer-oriented for the entrepreneur;

The platform is distinguished by a site with increased and distinctive visibility;

The entrepreneur can add more than one project to his project site to make it multiple campaigns in time with the approval of the committee;

The Internet user can easily follow the progress of the campaign and the entrepreneur’s project;

The entrepreneur receives his funds as his campaign progresses directly into a Stripe account;

The entrepreneur has access to his funds within two weeks;

The money invested by the entrepreneur in an advertising campaign for his crowdfunding campaign will generate traffic that will direct exclusively to his project;

The entrepreneur will be able to give news of his campaign through his update page;

The entrepreneur will be able to inform, educate and entertain Internet users through his business project on his social networks or other sites;

Support for opening an account and drafting a project;

Basic campaign support;

7/7 online support on the website;

Campaign team available (paid services).

13. REMUNERATION AND CONDITIONS OF PAYMENT OF THE DREAM MAKERS CROWDFUNDING PLATFORM

By using the Dream Makers Crowdfunding Platform, the project leader (the User) agrees to pay a 10% commission and the applicable taxes of the country, which will be deducted directly from the contributions received on the Stripe account. Furthermore, the financial objective is listed on the campaign platform, entirely on the project leader’s (User) project page.

14. DREAM MAKERS CROWDFUNDING PLATFORM – PAYMENT PROVIDER

The Makers de Rêves crowdfunding platform uses the payment provider Stripe to transact contributions to the User’s account. Stripe’s transaction fees start at 2.9% plus $0.30 per domestic transaction. There are no transaction fees for Internet users who contribute to the User’s project. Consult the Stripe site or contact us to see if your country is accepted.

15. CONFIDENTIALITY

The Dream Makers Crowdfunding Platform attaches great importance to the respect and confidentiality of your data. For more details, please see our Privacy Policy.

16. DAMAGE TO REPUTATION AND DEFAMATION

The User and his entourage (family, friends, Facebook friends, or others) may in no way defame and damage the reputation of the Dream Makers Crowdfunding Platform, its academy, its agents, its association and partners.

17. LIMIT OF LIABILITY

DREAM MAKERS CROWDFUNDING PLATFORM, ITS AFFILIATES AND THEIR DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR THEIR RESPECTIVE SUCCESSORS AND ASSIGNS CAN NOT BE HELD RESPONSIBLE FOR DAMAGES OF ANY KIND, DIRECT OR INDIRECT, ARISING DIRECTLY OR INDIRECTLY, IN ANY CIRCUMSTANCES INDIRECTLY FROM THE USE OR PERFORMANCE OF THE PLATFORMS, SERVICES, CONTENT OR EXTERNAL SITES, INCLUDING AND WITHOUT LIMITING THE SCOPE, MONETARY LOSSES OR BUSINESS OPPORTUNITIES RESULTING FROM A CROWDFUNDING CAMPAIGN FOR A PROJECT ON THE PLATFORMS, EVEN IF THEY KNEW OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES.

18. IN CASE OF DEATH

The User death terminates the agreement as soon as it is brought to the attention of the Dream Makers Crowdfunding Platform.

19. FORCE MAJOR

The Parties are not held responsible or considered to have failed hereunder in the event of delay or non-performance when their cause is linked to force majeure as defined by article 1218 of the Civil Code.

20. LEGAL ATTRIBUTION

The agreement is governed by the laws of the province of Quebec. Accordingly, any dispute between the parties relating to the interpretation or application of the agreement that cannot settle amicably will be brought before the courts of the judicial district of Laval, Quebec, Canada.
